Rogers GIS Services Agreement This agreement is made as of / —2 / r . 2015 by and between WebGIS Solutions ("Contractor"), a South Carolina Proprietorship that has a place of business at 228 Pucketts Pointe Rd, Greenwood SC, 29649, and the City of Chino Hills, California ("Client"), which is located at 14000 City Center Drive, Chino Hills, California 91709. The parties, intending to be legally bound, hereby agree as follows: I. Services. Within three months of the execution of this Agreement, Contractor shall install and configure the Internet application on the Client's ESRI's ArcGIS Server JavaSeript API as described below ("Installation"): Application development of the custom GIS Websites, written in VB.Net, HTML and JavaScript using the ArcGIS Server Silverlight API and the ArcGIS Server JavaScript API shall include ArcGIS Server Custom JavaScript/HTMLS Mobile Web Application • Designed to target smart phones and tablet devices such as the Apple iPad. • Can display either cached, dynamic or a combination of map services. • Locate Me – Uses the GPS from the mobile device to center map at current location. • Follow me – allows users of mobile devices to use the GPS functions of the phone to navigate the map. Users can also select a pre -defined layer to dynamically identify as the map pans/stoves around. • Identify – Allows the user to identify different layers from different map services on the map. • Community Information Tool – Multi -layer results displaying attribute information from pre -configured layers from the location the user clicks on the map. • Quick Search – Functions the same as the Silverlight Viewer search module, allowing clients to wire -up any fields they would like to search in the settings file. • Map Themes – Customizable combinations of map layers, allowing users to change the appearance of the map to suit the needs of different themes. • Map Legend – Displays a legend representing a reference to all visible layers on the map. • Hyperlink provided to existing property card. • Sign In – Allows organizations to assign different levels of security to different layers or different fields within a specific layer. • Print to PDF, Jpeg or printer. • Export results to CSV. • Export map layers to different formats such as Geodatabases, Shapefiles, DXF and DWG. • Drawing tools. • Overview map. • Map tips. • Thematic mapping. • Built on ESRI's ArcGIS Server JavaScript API using the JQuery Mobile framework. • Includes all the source code in VB and JavaScript. In addition, Consultant shall provide: • Up to 10 hours of software installation and training (By remote access and telephone to include administrator and\or user level training to be determined by the Client so that the Client can run the system. • Consultant shall provide 12 months of maintenance level support from day of installation, including all updates, new features, upgrades, new releases to core web napping product and technical support, core product updates. These updates will be provided to the Client but the implementation and installation of these updates are the Client's responsibility. 2. Rate of Payment for Services. Upon the completion of Installation, Client agrees to pay Contractor 58,000 for the ArcGIS Server Custom JavaScript/HTML5 Mobile Web Application, the Installation of same, up to 10 hours of training and 12 months maintenance of same from the day of Installation. 3. Invoicing. Consultant shall invoice Client, at Client's address for the services rendered as set forth in this Agreement, and Client shall pay the amount set forth on such invoices to Contractor for services performed that were approved by the client's representative within thirty (30) days of receipt thereof. If the Client disputes any of Contractor's fees it shall give written notice to Consultant within 30 days of receipt of an invoice of any disputed fees set forth on the invoice. 4. Use of Work Product. Client shall have ownership of all source code and documentation for this ArcGIS Server Custom JavaScriptrHTML5 Mobile Web Application installed at the Client and, as such, Client staff may alter code at their discretion and shall retain all such work product provided by Contractor upon termination of this Agreement. Contractor will retain the copyrights and other intellectual property rights in any work it produces as part of, or specifically in connection with the services. 5. Client Representative. shall represent the Client during the performance of this Agreement with respect to the services and deliverables as defined herein and has authority to execute written modifications or additions to this Agreement as defined in Section 8. Contractor shall make every reasonable effort to maintain the stability and continuity of Contractor's staff assigned to perforin the services hereunder and shall obtain the approval of the City Manager of all proposed staff members performing services under this Agreement prior to any such performance. LIMITED WARRANTY 6. Liability, Indemnity and Insurance. 1. Contractor warrants to Client that the material, analysis, and data programs and services to be delivered or rendered hereunder, will be of the kind and quality designated and will be performed by qualified personnel. Special requirements for format or standards to be followed shall be attached as an additional exhibit and executed by both Client and Contractor. Contractor represents and warrants that the ArcGiS Server Custom JavaScript/HTML5 Mobile Web Application is the result of Contractor's sole efforts unless otherwise stipulated as a collaboration and unique and original and does not infringe upon any copyright or patent. Contractor makes no other warranties, whether written, oral or implied, including without limitation, warranty of fitness for a particular purpose or merchantability. Contractor will not be responsible for any software defects ("bugs") that exist in the ArcGiS Server product from ESRI. If software "workarounds" are available for the defects, Contractor will attempt to implement these to fix the defects. Client, its elected and appointed officials, officers, agents, employees and volunteers (individually and collectively, "Indemnitees") shall have no liability to Contractor or to any other person for, and Contractor shall indemnify, defend, protect and hold harmless the indemnitees from and against, any and all liabilities, claims, actions, causes of action, proceedings, suits, damages, judgments, liens, levies, costs and expenses of whatever nature, including reasonable attorneys' fees and disbursements (collectively "Claims"), which the indemnitees may suffer or incur as a result of or allegedly caused by the negligent or wrongful acts or omissions of Contractor, its agents, officers, directors or employees, in performing any of the services under this agreement. If any action or proceeding is brought against the Indemnitees by reason of any of the matters against which Contractor has agreed to indemnify the Indemnitees as above provided, Contractor, upon notice from the Client, shall defend the indemnitees at Client's expense by counsel acceptable to the Client. The indemnitees need not have first paid any of the matters as to which the Indemnitees are entitled in order to be so indemnified. The provisions of this paragraph 6 shall survive the expiration or earlier termination of this agreement. Insurance Reouirements. Contractor must provide the following insurance: • Comprehensive General Liability, including coverage for premises, products and completed operations, independent contractors, personal injury and contractual obligations with combined single limits of coverage of at least $1 000 000 per occurrence. Commercial general liability insurance must meet or exceed the requirements of ISO - CGL Form No. CG 00 01 1 1 85 or 88. • Workers' Compensation Insurance: as required by State Statutes. (Not needed if Self-employed with no employees and CONTRACTOR signs statement to this effect.) The amount of insurance set forth above will be a combined single limit per occurrence for bodily injury, personal injury, and property damage for the policy coverage. Liability policies will be endorsed to name the Client, its officials, and employees as "additional insured's" under said insurance coverage and to state that such insurance will be deemed "primary" such that any other insurance that may be carried by the Client will be excess thereto. Such insurance must be on an "occurrence," not a "claims made," basis and will not be cancelable or subject to reduction except upon thirty (30) days prior written notice to the Client. The insurance required to be maintained by Consultant shall ensure Consultant's obligations under this paragraph 6, but the limits of such insurance shall not limit the liability of Consultant hereunder. ALL INSURANCE INFORMATION LISTED ABOVE MUST BE OBTAINED AND ON FILE, PRiOR TO THE COMMENCEMENT OF SERVICES. 7. Complete Agreement. This agreement contains the entire Agreement between the parties hereto with respect to the matters covered herein. No other agreements, representations, warranties or other matters, oral or written, purportedly agreed to or represented by or on behalf of Contractor by any of its employees or agents, or contained in any sales materials or brochures, shall be deemed to bind the parties hereto with respect to the subject natter hereof. Client acknowledges that it is entering into this Agreement solely on the basis of the representations contained herein. in the event of a conflict in the provisions of any attachments hereto and the provisions set forth in this Agreement, the provisions of such attachments shall govern. 8. Additional Work. After receipt of an order in writing and signed by the Client's City Manager which adds Services not initially provided for as set forth in this contract, the Contractor may, at its discretion, take reasonable action and expend reasonable amounts of time and money based on such order. In the event the Contractor provides such additional services requested by the Client, Client agrees to pay the Consultant for such action and expenditure provided there is a fee for these services that is pre -approved by Client in writing.. 9. Notices. All notices, requests, demands and other communications hereunder shall be in writing and shall be deemed to have been duly given when personally delivered or two (2) business days after deposited with the United States Postal Service, certified or registered nail, postage prepaid, return receipt requested, addressed as: (i) Notices to Client should be sent to: Attn: City Clerk City of Chino Hills 14000 City Center Drive Chino Hills, CA 91709 (ii) Notices to Contractor should be sent to: Brad Barnell 228 Pucketts Pointe Rd Greenwood, SC 29649 Phone: 864.992.4249 10. Assignment. This Agreement may not be assigned by either party without the prior written consent of the other party. Except for the prohibition on assignment contained in the preceding sentence, this Agreement shall be binding upon and inure to the benefits of the heirs, successors and assigns of the parties hereto. 11. Term. This agreement shall commence on the date defined at the beginning and will be renewed annually for up to ten (10) years unless terminated in writing by the City Manager of Client within 30 days prior to renewal date.. The agreement can also be terminated at any time upon 60 days notice by both the Client and the Consultant. Work performed prior to the commencement date shall be added to this agreement under the terms stated herein. 12. Data Requirements. Client will provide to WebG1S Solutions all necessary data to develop and test the software including: Geodatabases, SQL database, and ArcGiS mxd file if needed. 13. Maintenance Fees. After the initial 12 month contract term, Client will pay the set maintenance fee (of S1,600) offered by Consultant on an annual basis. The maintenance fee will obligate the Consultant to provide technical support, core product updates, and any upgrades to or new releases of the core product. These updates will be provided to the Client, but the implementation and installation of these updates are the Client's responsibility. 16. Interpretation and Venue. This Agreement was drafted in, and will be construed in accordance with the laws of the State of California, and exclusive venue for any action involving this agreement will be in San Bernardino County.
